Steps for Mainland Business Setup

Determine Business Activity

Identify the specific business activities you plan to undertake. Different activities may have different licensing requirements.

Legal Structure

Choose the appropriate legal structure for your business. The most common structure for foreign investors is a Limited Liability Company (LLC). This requires a local partner who holds at least 51% of the shares, while the foreign investor holds the remaining 49%. Certain business activities may allow full ownership by a foreign investor.

Trade Name Reservation

Reserve a unique trade name for your business. The name should align with your business activities and comply with the naming conventions set by the Department of Economic Development (DED).

Initial Approval

Submit an application for initial approval to the DED. This involves providing details about your business activities, proposed location, and other relevant information.

Memorandum of Association (MOA)

Prepare the Memorandum of Association (MOA) with the help of a legal consultant. The MOA outlines the company’s structure, activities, and the distribution of shares among partners.

Local Sponsorship or Service Agent

For an LLC, you’ll need a local sponsor or service agent. The local sponsor will not have direct involvement in the business operations but is a requirement for certain business activities. This arrangement is formalized in the MOA.

Submit Documents for Final Approval

Once the MOA is drafted and all required documents are prepared, submit them to the DED for final approval. The documents typically include the application form, initial approval certificate, MOA, passport copies of partners, and other relevant documents.

Obtain Business License

Upon receiving final approval, you can proceed to obtain your business license. The DED will issue the license, specifying the approved business activities.

Visa Processing

If you plan to employ staff, you’ll need to process visas through the General Directorate of Residency and Foreigners Affairs (GDRFA).

Establishment Card

Once you have your license, you’ll need to obtain an Establishment Card. This card is issued by the Ministry of Labor and is required for various labor-related transactions.

Commercial Register and Chamber of Commerce Registration

Register your company with the Commercial Register and the Dubai Chamber of Commerce and Industry to complete the setup process.

Open a Bank Account

Finally, open a business bank account in the UAE using your newly acquired license.

Renewal and Compliance

Be mindful of license renewal dates and ensure ongoing compliance with regulations to avoid any disruptions to your business operations. It’s crucial to note that regulations may vary, and it’s advisable to seek the assistance of a business consultant or legal expert who is familiar with the specific requirements and procedures in Dubai. Working with professionals can streamline the process and ensure compliance with local laws and regulations.
